Summary: Rupali AI provides AI-powered media generation services. All credit purchases are final and non-refundable.

1. Acceptance of Terms

By accessing and using Rupali AI ("the Service"), you accept and agree to be bound by these Terms of Service. If you do not agree, please do not use the Service. The Service is operated by Rupali AI ("we", "us", "our").

2. Description of Service

Rupali AI is a SaaS platform that allows users to generate media content using Artificial Intelligence models. The Service primarily provides image generation capabilities, but may include other features such as video generation, audio/SFX creation, image enhancement, and other media tools as they become available.

AI generation is probabilistic and may produce outputs that resemble existing works. We do not guarantee the uniqueness of any generated content.

We utilize third-party AI model and media processing providers (“AI Providers”), currently including Runware, to deliver certain features of the Service. These providers process user inputs (including prompts and uploaded content) solely for the purpose of generating requested outputs. We do not control and are not responsible for the performance, accuracy, availability, or limitations of these providers. Use of AI-powered features is subject to any technical, safety, or legal constraints imposed by our AI Providers.

3. User Accounts

  • You must be at least 18 years old to use the Service. By accessing the Service, you confirm that you are 18 years of age or older.
  • You are responsible for maintaining the confidentiality of your account credentials (managed via Clerk).
  • You are responsible for all activities that occur under your account.
  • We reserve the right to terminate accounts that violate these Terms.

4. Credits, Payments, and Refunds

The Service operates on a credit-based system.

  • Purchase: Credits are purchased via our payment processor, Creem (creem.io), which acts as our Merchant of Record.
  • Pricing: Prices are displayed at the time of purchase.
  • Credit Expiration: Any remaining credits in your account will expire each year on December 31st (UTC). Unused credits do not roll over to the next calendar year.
  • Refunds:
    • General Policy: All credit purchases are final and non-refundable. We will respond to all refund requests or inquiries within 3 business days.
    • EU Right of Withdrawal: If you are a consumer located in the European Union, you normally have a statutory right to withdraw from a distance contract within fourteen (14) days without giving any reason. However, the purchase of Credits constitutes the supply of digital content not supplied on a tangible medium. By explicitly consenting to the immediate performance of the contract (i.e., immediate access to Credits) and acknowledging the loss of your right of withdrawal during the checkout process, you acknowledge that you lose your right of withdrawal once the supply of digital content has begun. Consequently, purchases of Credits are final and non-refundable once accessible to you.

5. Intellectual Property & Content Rights

Your Rights

Due to the nature of AI-generated content, legal ownership or copyright protection of generated media may vary by jurisdiction. We cannot guarantee that generated content qualifies for copyright protection or that it will be considered original or exclusive.


Except where prohibited by law or overridden by model-provider restrictions, you retain ownership of the content you generate using the Service. You are responsible for ensuring that your prompts and generated content comply with all applicable laws and third-party rights (including IP and privacy laws).


Certain models or generation features may be subject to model-specific license restrictions imposed by AI Providers. You are solely responsible for ensuring your use of generated content complies with applicable model licenses.

Our Rights

You grant us a license to host, store, and process your content solely to provide and improve the Service. Our AI Provider is granted only the limited rights necessary to process your inputs and generate outputs on your behalf. When using features powered by our AI Provider, you grant both us and our AI Provider the rights strictly required to perform the requested processing, without extending any additional rights.

Community Usage

Only images and media that you explicitly seek to publish or make publicly available on the Service are allowed to be used by other users. Private generations remain accessible only to you and our necessary Service Providers.

Copyright Complaints & Takedowns

We may remove any generated content or suspend access where reasonably necessary to comply with legal obligations, safety requirements, or third-party terms.

We follow a notice-and-takedown procedure for alleged intellectual property infringements.

If you believe that your intellectual property rights have been infringed by content generated or hosted on our Service, please contact us at support@rupali.ai with a detailed description of the alleged infringement.

6. Acceptable Use Policy

If you choose to generate media depicting real individuals, the processing may involve personal data. You are responsible for ensuring you have the legal right to process such personal data.

You may not use the Service to bulk-generate or resell outputs at scale without our written permission. We may apply rate limits, restrict functionality, or suspend access in cases of excessive usage, automated activity, or suspected abuse.

Important: AI models may occasionally generate content that unintentionally resembles existing copyrighted works. You are responsible for ensuring that your use of generated content does not infringe upon the rights of third parties.

You agree NOT to use the Service to generate, upload, or share content that:

  • Is illegal, harmful, threatening, abusive, or defamatory.
  • Depicts Child Sexual Abuse Material (CSAM) or any exploitation of minors. We report all such content to relevant authorities (NCMEC/Europol).
  • Generates sexually explicit content, pornography, or other NSFW (Not Safe For Work) material.
  • Infringes on the intellectual property rights of others.
  • Promotes violence, harassment, hate speech, or discrimination.
  • Is intended to deceive (e.g., deepfakes of real people without consent).

⚠️ NSFW Content Policy & Pricing

If NSFW content is detected:

  • Content may will be removed without further notice and will not be visible to you or stored in your gallery.
  • You may be charged more than the standard credit cost for each NSFW generation detected, as our AI provider automatically detects and flags NSFW content and charges sometimes higher rates for NSFW content processing.
  • No refunds will be issued for NSFW content generation fees, regardless of whether the content was intentionally or unintentionally generated.
  • Repeated violations may result in account suspension or termination without refund.

We strongly recommend reviewing your prompts or inputs before submission to avoid unintended NSFW content generation.

7. Limitation of Liability

To the maximum extent permitted by law, Rupali AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the past 12 months.

8. Disclaimer of Warranties

The Service, including all AI-generated content and results produced through our AI Providers, is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we expressly disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability;
  • Any warranties arising out of course of dealing or usage of trade;
  • Any guarantees regarding the quality, correctness, uniqueness, originality, or legality of AI-generated outputs.

We do not warrant that the Service or AI-generated content will meet your requirements, be uninterrupted, error-free, secure, or free from harmful content. You acknowledge that AI outputs may be unpredictable, inaccurate, or incomplete. You use all generated content at your own risk. We may update, modify, or discontinue parts of the Service at any time.

9. Indemnification

You agree to indemnify, defend, and hold harmless Rupali AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with:

  • Your access to or use of the Service;
  • Your violation of these Terms;
  • Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right.

You are solely responsible for resolving any disputes regarding the intellectual property rights of others in connection with your use of the Service. Rupali AI assumes no responsibility or liability for any such disputes.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of Denmark. Subject to your mandatory consumer rights, any dispute arising out of or in connection with these Terms shall be submitted to the courts of Hillerød District Court (Hillerød Byret), Denmark.

If you are an EU consumer, you retain the protection of any mandatory provisions of the law of the country in which you are resident; nothing in these Terms limits those rights.

11. Survival

The following sections of these Terms will survive the termination or deletion of your account and your use of the Service:

  • Intellectual Property & Content Rights
  • Acceptable Use Policy
  • Limitation of Liability
  • Disclaimer of Warranties
  • Indemnification
  • Governing Law & Dispute Resolution
  • Any other provisions that, by their nature, should reasonably survive termination.

These sections remain in effect even after your account is closed or you stop using the Service.

12. Modifications to Service and Terms

We reserve the right to change or modify the Service and these Terms at any time, including but not limited to:

  • Pricing of models and credit packages
  • Availability of specific AI models or features
  • Credit expiration policies and usage rates
  • Other operational aspects of the Service

Changes will be effective immediately upon posting. Your continued use of the Service constitutes agreement to any updated terms.
